This Memorandum of Understanding (MoU) is dated 12-Jun-2026

Upskill Tech Solutions Pvt Ltd ("Upskill"), a company registered under the provisions of the Companies Act 2013, having its office at B/303, Pratik Industrial Estate Society Ltd, Mulund Goregaon. Link Road, Bhandup (West), Mumbai 400 078.

IHM MEERUT, ("Educational Institution/College"), having its office at NH58 DELHI DEHRADUN HIGHWAY ,Meerut ,Uttar Pradesh-250001

Whereas

1. Upskill is in the business of providing hiring / placement services, allied services and skill development, through its platform www.skillsconnect.in. Upskill will provide digital platform for hiring, screening interviewing the candidate through the digital platform which connects the students with appropriate organizations for internship, fulltime jobs for fresher’s etc.
2. College is providing an environment for effective teaching-learning by encouraging the students and faculty to nurture their intellectual curiosity and scientific and research temperament.
3. Parties to this MoU share the common vision of creation of knowledge by imparting training, providing allied services, Internship, Job and Start up Execution, in order to provide society with trained resources to the eco system.
4. This MoU with College is for promoting and reinforcing cooperation, mutual exchange of Information and Technological knowledge & Soft Skill Training.

The MOU states that the two organizations will honour the MoU by:

1. Upskill will provide opportunities for Job / Internship / Live Project / Summer Project / Allied Services / Guest Lectures with industry experts to the educational institution through its digital platform.
2. The College may give equal priority to Upskill member companies along with the companies visiting their campuses during the placement process and considers all jobs/internships at par with the companies coming to your college for Internship / Live Project & Summer Internship Project. The College will also try to appoint a faculty to guide the students and ensure the quality deliverables.
3. College need to respond with their intent of taking a given job / internship to their students within 24 hours to facilitate the process. In case the College is not keen they can decline the same but they need to share their feedback along with the decline notification.
4. College has all the rights to decide if they want to pick the job shared basis the evaluation criterion i.e. Corporate Brand / CTC offered/ location etc.
5. College would involve their TPO (Training placement officer) in all recruitment activities with Upskill and monitor the same to maintain decorum.
6. The TPO ensures that all the students data is checked and written privacy consents obtained before they apply for a job position opened to them.
7. The TPO controls & monitors the student decorum in the overall assessment process. The TPO ensures the assessment test (if any ) , documentation of selected students are completed on time.
8. TPO to ensure that all the candidates have read the job description, company details and then apply for the position shared.
9. TPO need to ensure only eligible students apply for the position (basis their joining dates, completion of their courses/ semesters etc.) to avoid any hassles on joining later. The TPO need to communicate the joining before the start of the process via email to Upskill.
10. The college shall keep its student updated and prepared that they will have 24hr to express interest for the open position on SkilsConect website opened specifically for the institute students.
11. The college shall validate the student data before they can apply for any open position with Upskill.
12. The college shall also inform and update its students to apply for open positions meticulously to ensure that once applied they should not be backing out from the hiring / interview process as in the normal campus hiring process.
13. The College shall also ensure that if any student is selected should not back out from joining the company as in the normal campus hiring process.
14. The college shall provide Single Point of Contact for all the Group Discussion , interviews, or any similar activities as and when organized by Upskill to facilitate the communication.
15. TPO ensures that students read the JD, do some groundwork about the corporates, also join on given time for GD / PI or any other assessment as per the corporate requirement.
16. Upskill is not obliged to but will try to provide the details of possible assessment round at the start of the process.
17. TPO would confirm the acceptance of offer by a candidate and confirm the same toUpskill.
18. TPO to facilitate joining of the candidate to the organization.
19. Once the candidate is selected by an organization, he shall be out of the placement process as in the normal campus hiring process.
20. TPO need to ensure that students do not back out after the completion of the overall interview process and selection confirmation from the client.
21. Upkill request that students have a faculty as mentor for students who avail LiveProject through our portal for quality deliverable & better control.
22. This MoU shall be governed by and construed/enforced in accordance with the Laws of India and for the purpose of enforcement of any of the rights under this MoU, the Courts in Mumbai, India alone shall have exclusive jurisdiction.
23. Either party may terminate this MOU anytime upon 30 days prior written notice to the other party.
24. Receiving party agrees to protect confidential information of the sharing party in the same manner as it protects its own confidential information (but using no less than a reasonable degree of care), and shall only disclose confidential information to those employees, contractors, or consultants with a need to know that information, and who have agreed in writing to be bound by terms at least as protective as those contained in this MoU. Information will not be deemed confidential information if (i) available to the public other than by a breach of a confidentiality obligation, (ii) rightfully received from a third party not in breach of a confidentiality obligation, (iii) independently developed by one party without use of the confidential information of the other; (iv) known to the recipient at the time of disclosure (other than under a separate confidentiality obligation); or (v) produced in compliance with applicable law or court order, provided the other party is given reasonable advance notice of the obligation to produce confidential information. Each party agrees to indemnify the other for any damages (including reasonable expenses) the other may sustain resulting from the unauthorized use and/or disclosure of the other's confidential information and that money damages would not be a sufficient remedy for a breach of confidentiality. The parties shall be entitled to seek injunctive or other equitable relief without the necessity of posting a bond even if otherwise normally required. Such injunctive or equitable relief shall not be the exclusive remedy for any breach of confidentiality, but shall be in addition to all other rights and remedies available at law or in equity.
25. Neither of the Parties will publish the work carried out under this MoU without prior written consent of the other.
26. The collaborative program between College and Upskill shall be coordinated by a coordination committee appointed by the Institutes & Upskill.
